These terms of use ("Terms of Use") are for the American Dental Education Association ("ADEA") website located at www.adea.org and other websites operated by or on behalf of ADEA that link to these Terms of Use (the "Website"). By using the Website, you agree to be bound by the terms and conditions set forth in these Terms of Use. PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING THE WEBSITE, YOU ACCEPT AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE WITH THESE TERMS OF USE, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE WEBSITE.  
 
References to “you” in these Terms of Use means both (a) you individually (unless otherwise stated on the Website or in these Terms of Use) and (b) any entity or individual who is your employer or for whom you act as an agent, to the extent you access or use the Website in your role as an employee or agent of a third party.  
 
 
Scope of Use
 
ADEA invites you to view, use, and download portions of the Website for your informational, non-commercial use; provided that you do not remove or obscure any copyright, trademark, and other proprietary notices. Except as expressly described in this paragraph, you may not modify, reproduce, prepare derivative works based on, perform, or display (a) any content of the Website; (b) the design or layout of the Website, or individual sections of the design or layout of the Website; or (c) ADEA trademarks, service marks, or logos without ADEA's prior written permission.
 
It is a violation of these Terms of Use for you to: (a) use the Website for illegal purposes, in violation of any applicable laws and regulations, or in violation of the rules of any ADEA service providers; (b) copy, sell, resell, or exploit for commercial purposes any portion of the Website without ADEA's prior written permission; (c) decompile, disassemble, reverse engineer, or otherwise attempt to discover the source code or trade secrets of the Website or of any software provided by ADEA or its licensors on, through, or for use with the Website; or (d) use any “page scrape,” “robot,” “spider,” or other automated means to access, copy, or monitor any portion of the Website.
 
 
User Submitted Content
 
Certain features of the Website enable you to post, store, transmit, and/or submit information, materials, comments, photos/images, and other content (collectively, “Submissions”). By posting, storing, transmitting, and/or submitting any Submission, you grant ADEA a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, cache, store, modify, publicly perform, publicly display, distribute, prepare derivative works based on, and transmit the Submission (in whole or in part) for any purpose related to the Website or ADEA's business purposes, without additional approval or consideration, and you waive any moral rights and publicity rights in or to the Submission.
 
You acknowledge that you are fully responsible for any Submission you make and for the legality, reliability, appropriateness, and originality thereof.  
 
Without limiting the foregoing, you represent that (a) your Submissions are true, accurate, and complete to the best of your knowledge and belief; (b) you have all requisite rights to, and are authorized to include, all content contained in your Submissions; and (c) your Submissions do not contain any content that (i) infringes upon, misappropriates, or violates another person’s copyrights, privacy or publicity rights, or other intellectual property rights; (ii) is unlawful, threatening, hateful, harassing, libelous, defamatory, obscene, profane, or otherwise objectionable or offensive (as determined by ADEA); (iii) is false, misleading, fraudulent, or inaccurate or includes gross exaggerations or unsubstantiated claims; (iv) could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law; or (v) includes a virus, worm, Trojan horse, malware, adware, or other harmful or disruptive device or component.
 
ADEA may refuse to post, or may remove at any time, any Submission for any reason.
 
ADEA has no liability for the deletion of, or failure to store, any Submissions. You are responsible for backing-up and keeping copies of your Submissions.
 
 
Third Party Products, Services, and Content
 
Any description or reference to non-ADEA products or services on the Website is for informational purposes only and shall not constitute an endorsement or a recommendation of such products or services by ADEA.
 
Some content on the Website is provided by third parties. Opinions in such content are the opinions of the third party who provided such content. ADEA does not endorse the third party content provider or make any guarantees with respect to the accuracy or reliability of the information and data in such content.  
 
 
Other Terms and Conditions
 
Some products and services available through the Website may have their own terms and conditions (“Other Terms and Conditions”) and, in such cases, the Other Terms and Conditions shall also apply with respect to the product or service. In the event that any of the terms and conditions contained herein conflict with Other Terms and Conditions, the Other Terms and Conditions shall control solely with respect to the particular product or service.

ADEA MAKES NO WARRANTY AS TO THE COMPLETENESS, TIMELINESS, ACCURACY, OR RELIABILITY OF ANY MATERIALS AVAILABLE ON OR THROUGH THE WEBSITE. YOU ARE RESPONSIBLE FOR VERIFYING MATERIALS BEFORE RELYING ON THEM. ADEA MAKES NO REPRESENTATIONS OR WARRANTIES THAT ACCESS TO OR USE OF THE WEBSITE (OR ANY PORTION THEREOF) WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR THAT DEFECTS OR INACCURACIES IN THE WEBSITE OR THE MATERIALS WILL BE CORRECTED.
 
 
IDs; Passwords; Security
 
User IDs and passwords are confidential and proprietary. It is a violation of these Terms of Use for you to share your ID and password or to use your ID and password for unauthorized purposes. You are solely responsible for any unauthorized use of your ID and password. You are required to notify ADEA immediately of any known or suspected unauthorized use of your ID and password and take reasonable steps to stop such use.
 
Submissions over the Internet may not be secure and nothing posted on the Website is confidential. Please consider this fact before e-mailing or submitting any personal or confidential information on or through the Website.
 
 
Limitation of Liability
 
YOUR USE OF THE WEBSITE AND THE MATERIALS IS AT YOUR SOLE RISK. ADEA SPECIFICALLY DISCLAIMS ALL LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR RELATING TO THE WEBSITE AND/OR THE MATERIALS, EVEN IF ADEA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
 
Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, ADEA’s liability is limited to the greatest extent permitted by law.
 
 
Indemnification
 
You agree to indemnify and hold ADEA, and its subsidiaries, affiliates, officers, agents, partners, and employees, harmless from and against any and all claims, actions, demands, losses, expenses, and damages (including reasonable attorneys' fees) arising out of or related to your use of the Website and/or any Materials, your Submissions, any violation of these Terms of Use by you, or any violation of any rights of any person by you. ADEA reserves, and you grant to ADEA, the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with ADEA.  
 
 
Trademarks; Other Proprietary Rights
 
The Website and the Materials contain trademarks of ADEA and its third party licensors. Unauthorized use of any of ADEA’s or its licensors’ trademarks may be a violation of federal and state trademark laws. 
 
ADEA and/or its licensors own all intellectual property rights in the Website and the Materials, except as otherwise expressly indicated. The Website and the Materials are protected by U.S. and international copyright laws. Any rights not expressly granted herein are reserved.
 
 
Monitoring; Violations; Termination of Usage
 
ADEA has the right, but not the obligation, to monitor Submissions and use of the Website.    
 
ADEA may terminate or suspend your access to the Website (or any portion thereof) immediately without notice for conduct that ADEA believes is in violation of these Terms of Use or is harmful to the interests of ADEA or a third party. ADEA reserves the right to seek all remedies available at law and in equity for violations of these Terms of Use.
 
Discontinuation of your use of the Website and the Materials is your sole right and remedy for any dissatisfaction with the Website or any Materials.

The Website and the Materials may include links to third party websites.  Links do not imply endorsement by ADEA. The linked websites are not under the control of ADEA; ADEA is not responsible for the content on, or privacy practices of, linked websites; and ADEA disclaims all liability with regard to your access to linked websites. Links  are provided as a convenience to users and access is at your own risk. 
 
Unless otherwise set forth in a written agreement between you and ADEA, you must adhere to ADEA's linking policy as follows: (i) the appearance, position, and other attributes of the link may not be such as to damage or dilute the goodwill associated with ADEA's names and trademarks; (ii)  the appearance, position, and other attributes of the link may not create the false appearance that your organization or entity is sponsored by, affiliated with, or associated with ADEA; (iii) when selected by a user, the link must display the Website full-screen and not within a "frame" on the linking web site; and (iv) ADEA reserves the right to revoke its consent to the link at any time and in its sole discretion, in which case you must immediately remove the link.

DMCA Policy
 
This policy is intended to implement the procedures described in the Digital Millennium Copyright Act of 1998 (DMCA), 17 U.S.C. Section 512(c), for the reporting of alleged copyright infringement.  If you are a copyright owner, authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements on the Website by providing a Notice of Alleged Infringement (as described below) and delivering it to ADEA’s Designated Copyright Agent (as identified below).
 
To be effective, your Notice of Alleged Infringement must comply with the requirements of the DMCA and include the following information:

Modifications

The laws of the District of Columbia shall govern these Terms of Use, without reference to its choice of law rules. The Website is operated by ADEA from the United States of America. Those who choose to access or use the Website or the Materials from other locations do so on their own initiative and are responsible for compliance with applicable local laws. If any provision of these Terms of Use shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. ADEA's failure to enforce the strict performance of any provision of these Terms of Use will not constitute a waiver of ADEA's right to subsequently enforce such provision or any other provisions of these Terms of Use. These Terms of Use, together with any Other Terms and Conditions, constitute the entire agreement between ADEA and you with respect to the Website.
